                             Resolución 274/016

Autorízase a ANCAP a contratar directamente con la firma ION-GX Technology, la realización de un contrato para la ejecución, venta y participación en los ingresos de un programa de reprocesamiento de datos sísmicos costa afuera (offshore) de Uruguay, y dispónese su aprobación.

   VISTO: La gestión realizada por la Administración Nacional de Combustibles Alcoholes y Portland (ANCAP), en la que solicita la autorización para la contratación directa con la firma ION-GX Technology, para la realización de un reprocesamiento de datos sísmicos 2D offshore Uruguay, a su propio costo y riesgo, para la producción de cinco mil 5.000 kilómetros como mínimo y un máximo de 10.034 kilómetros lineales de datos sísmicos 2D, correspondientes a las campañas de los años 2007 y 2008, con cobertura total, bajo la modalidad de contrato multicliente; 

   RESULTANDO: I) que la empresa geofísica ION-GX Technology manifestó a ANCAP su interés de realizar el estudio referido en el Visto del presente, formalizando una propuesta para la firma de un "Contrato para la ejecución, venta y participación en los ingresos de un programa de reprocesamiento de datos sísmicos costa afuera (offshore) de la República Oriental del Uruguay"; 

   II) que conforme a lo dispuesto en los decretos leyes N° 14.181, de 29 de marzo de 1974 y 15.242, de 8 de enero de 1982, en la redacción dada por la ley N° 18.813, de 23 de setiembre de 2011, compete al Poder Ejecutivo la definición de la política relativa a fuentes de energía y especialmente a la exploración de hidrocarburos; 

   III) que según la normativa citada, la ANCAP es el ente competente para ejecutar las actividades, negocios y operaciones de la industria de hidrocarburos, no obstante lo cual le compete al Poder Ejecutivo el otorgamiento de la autorización para una contratación directa en esta materia; 

   IV) que por decreto 570/009, de fecha 9 de diciembre de 2009, se autorizó a ANCAP a contratar a la misma empresa para la realización de trabajos de relevamiento sísmico 2D offshore, también en modalidad multicliente; 

   CONSIDERANDO: I) que se entiende conveniente la suscripción de un contrato multicliente con ION-GX Technology, por cuanto: a) la empresa ION-GX Technology es líder en la industria petrolera en el negocio multi-cliente de adquisición, procesamiento y mercadeo de datos sísmicos ofreciendo productos de reconocida calidad por la industria petrolera, lo que garantiza la calidad técnica de los resultados obtenidos; b) ION-GX Technology posee vasto conocimiento de las cuencas offshore de Uruguay, tras haber realizado satisfactoriamente el programa de adquisición de aproximadamente 2800 kilómetros de sísmica 2D, denominada "Uruguay SPAN" en el marco del contrato multicliente autorizado por el decreto 570/009; c) la utilización de esta modalidad contractual representa ingresos netos para ANCAP desde la venta de la primera licencia; d) este reprocesamiento permitirá la mejora de la calidad de los datos sísmicos 2D regionales en aguas someras, profundas y ultra profundas del offshore del país; 

   II) que ION-GX Technology asumirá todos los costos y riesgos asociados al estudio, por lo que la presente contratación propuesta no implica gastos para el Estado; 

   III) que ION-GX Technology tiene el derecho no exclusivo de realizar el reprocesamiento de datos sísmicos 2D offshore de Uruguay y tendrá el derecho exclusivo de otorgar licencias de uso a terceras partes, de los datos geofísicos procesados o reprocesados, y de realizar el mercadeo y venta de los productos derivados de este proyecto durante 5 años, prorrogables por un plazo de 5 años más; 

   ATENTO: a lo dispuesto en el art. 5 del Decreto-Ley N° 14.181, de 29 de marzo de 1974, y en los artículos 66 y siguientes del Código de Minería (Decreto-Ley N° 15.242, de 8 de enero de 1982 y sus modificativas); 

                      EL PRESIDENTE DE LA REPÚBLICA

                                RESUELVE:

   Autorízase a la Administración Nacional de Combustibles Alcohol y Portland (ANCAP) a contratar directamente con la firma ION-GX Technology, para la realización de un contrato para la ejecución, venta y participación en los ingresos de un programa de reprocesamiento de datos sísmicos costa afuera (offshore) de la República Oriental del Uruguay, bajo la modalidad de contrato multicliente no exclusivo.

   Apruébase los términos del Contrato a suscribirse entre la Administración Nacional de Combustibles Alcohol y Portland, y ION-GX Technology, que acompaña y forma parte de la presente Resolución.

   Comuníquese, publíquese y pase a la Administración Nacional de Combustibles, Alcohol y Portland.

CLÁUSULA PRIMERA - OBJETO
  
FIRST CLAUSE - PURPOSE
   
 

  
El objeto de este Contrato es determinar los términos y condiciones bajo los cuales:
  
The purpose of this Agreement is to determine the terms and conditions under which:
   
 

  
1.1     GX Technology tendrá el derecho no exclusivo procesar y/o reprocesar los datos sísmicos 2D de costa afuera de Uruguay a su propio costo y riesgo como se define y acuerda en el Anexo 1 (el "Programa") con las especificaciones técnicas que se describen en el Anexo 3 y,
  
1.1     GX Technology shall have the non-exclusive right to process and reprocess 2D seismic data offshore of Uruguay at their own expense and risk as defined and agreed in Annex 1 (the "Program") with the technical specifications described in Annex 3, and
   
 

  
1.2     GX Technology tendrá el derecho exclusivo de otorgar licencias de uso a terceras partes, de los datos geofísicos procesados o reprocesados (el "Producto") y de realizar el mercadeo y venta de los productos derivados de este proyecto.
  
1.2     GX Technology shall have the exclusive right to grant licenses for the use of the processed and reprocessed Data (the "Product") to third parties and market and sell derived Products from the Program.
   
 

  
1.3     Por otra parte, ANCAP y GX Technology acordarán la "Participación en los Ingresos" por concepto de los cánones recibidos de las licencias de uso de los Productos a terceros, incluyendo productos adicionales a los establecidos en el Anexo 3 que se agreguen posteriormente durante la vigencia del presente Contrato.
  
1.3     Furthermore, ANCAP and GX Technology agree to the "Income Participation" according to the income received from the licensing of Products to third parties, including any additional products as set out in Annex 3 which may be added during the term of this Agreement.
   
 

  

  

   
 

  
CLÁUSULA SEGUNDA - La propiedad de los Datos
  
SECOND CLAUSE - Data Ownership
   
 

  
2.1     ANCAP será propietaria del Producto y proporcionará a GX Technology los derechos exclusivos para otorgar las licencias de uso del Producto a terceras partes. ANCAP recibirá una copia de los datos crudos, de los datos procesados (incluyendo todos los productos intermedios o adicionales objeto de las licencias de uso) y del Producto, dentro de los tres (3) meses posteriores a la finalización de la correspondiente fase del Programa. El Producto se suministrará en un formato estándar. ANCAP tendrá el derecho de usar el Producto, incluyendo mapas y gráficos, en trabajos científicos y técnicos a ser publicados con la autorización previa por escrito de GX Technology.
  
2.1     ANCAP will own the Product and provide to GX Technology the right to grant exclusive licenses for the use of the Product to third parties. ANCAP shall receive a copy of the raw data, processed data (including all intermediate or additional products according to the granted licenses) and the Product, within three (3) months after the completion of the corresponding phase of the Program. The Product will be provided in a standard format. ANCAP shall have the right to use the Product, including maps and graphics, in published scientific and technical articles with the prior written authorization of GX Technology.
   
 

  
2.2     ANCAP no podrá comercializar, suministrar o licenciar dichos Productos reprocesados o reinterpretados a ningún tercero durante la vigencia del contrato otorgado a GX Technology.
  
2.2     ANCAP may not commercialize, supply or license those Products processed, reprocessed, interpreted or re-interpreted to any third panty for the duration of the contract rights granted to GX Technology.
   
 

  
2.3     A los efectos del otorgamiento de licencias de uso del Producto a terceras partes, GX Technology usará modelos de licenciamiento estándares de la industria, en idioma inglés; lo que ANCAP declara conocer y aceptar.
  
2.3     For the effects of granting a license to use the Product to third parties, GX Technology will use industry standard licensing models in the English language: which ANCAP acknowledges and accepts.
   
 

  

  

   
 

  
CLÁUSULA TERCERA - Confidencialidad de los Datos
  
THIRD CLAUSE-Confidentiality Data
   
 

  
GX Technology y ANCAP garantizan que mantendrán y harán que su personal, directores, agentes, consultores, asesores, consejeros y colaboradores en general, mantengan la estricta confidencialidad de los Datos. A menos que se acuerde lo contrario, por escrito, entre ANCAP y GX Technology, toda la información derivada del Programa, incluyendo la interpretación, los mapas y los reportes, deberán mantenerse confidenciales entre las partes y no serán divulgadas a ninguna persona, firma, corporación, o cualquier otra entidad.
  
GX Technology and ANCAP guarantee that they will ensure that their staff, directors, agents, consultants, advisers and collaborators in general, maintain confidentiality of the Data. Unless otherwise agreed in writing between ANCAP and GX Technology, all information derived from the Program's interpretations, maps, and reports, must stay confidential between the Parties and will not be divulged to any other person, corporation or other entity.
   
 

  
Las obligaciones establecidas precedentemente no serán aplicables 
en las situaciones siguientes:
  
These obligations shall not apply in the following situations:
   
 

  
3.1     Cuando la información recibida haya ingresado al dominio público, sin que ANCAP o GX Technology, o alguien de su personal, directores, agentes, consultores, consejeros, asesores o colaboradores en general haya sido responsable de ello y dicha información no haya ingresado al dominio público como consecuencia de un incumplimiento de la licencia con GX Technology por parte de un comprador o Licenciatario;
  
3.1     When the information received has entered the public domain without ANCAP or GX Technology or any of their staff, directors, agents, consultants, advisors, assessors or collaborators in general for being responsible for the disclosure and said information has not entered the public domain as a consequence of the breach of a GX Technology license by a buyer or licensee;
   
 

  
3.2     Si la información es solicitada por el Ministerio de Industria, Energía y Minería, a través del cual el Poder Ejecutivo ejerce la tutela administrativa de ANCAP, o solicitada por algún otro organismo gubernamental o jurisdiccional, o alguna Bolsa de Valores;
  
3.2     If the information is requested by the Ministry of Industry, Energy and Mining, through which the Executive Branch exercises administrative supervision of ANCAP, or is requested by some other agency, governmental or judicial, or any stock exchange;
   
 

  
3.3     Si GX Technology publica extractos seleccionados de los Datos y/o del Producto con el fin de generar ventas, estos extractos seleccionados (imágenes idénticas) pueden ser divulgados por ANCAP;
  
3.3     If GX Technology publishes extracts selected from Data and/or Product in order to generate sales, these selected extracts (identical images) may also be disclosed by ANCAP;
   
 

  
3.4     ANCAP podrá ocasionalmente divulgar algunos extractos de los Datos y/o del Producto solamente a compañías petroleras que se muestren interesadas en adquirir una licencia de uso de los Datos, siempre que sea en las oficinas de ANCAP, en la presencia de personal de ANCAP y por períodos de tiempo limitado. ANCAP no permitirá que estas compañías efectúen anotaciones o trabajen con los Datos y/o el Producto para confirmar un prospecto o efectuar interpretaciones. ANCAP no permitirá que las compañías petroleras obtengan copias de los Datos y/o del Producto ni porciones de estos, salvo por los medios previstos en la sección 3.4.1 al 3.4.4, asimismo, no permitirá que las compañías petroleras sustraigan los Datos y/o el Producto de sus oficinas, ni permitirá que los Datos y/o el Producto sean removidos de sus oficinas. ANCAP podrá usar algunos Datos y/o el Producto para promover la exploración de hidrocarburos en Uruguay en artículos publicitarios y conferencias de promoción utilizando para ellos imágenes estáticas ("Imagen") y sujetos a las siguientes restricciones:
  
3.4     ANCAP may occasionally disclose some excerpts of Data and / or the Product to oil companies interested in acquiring a license to use the Data, only in the offices of ANCAP, in the presence of ANCAP personnel and for limited periods of time. ANCAP will not allow these companies to make notes or work with the Data and / or the Product to confirm a prospect nor to make interpretations. ANCAP will not allow oil companies to obtain copies of the Data and / or the Product nor portions thereof, except in the manner prescribed in section 3.4.1 to 3.4.4 and neither will ANCAP allow third parties to remove the Data and / or the product or part thereof from their offices. ANCAP may use some information and / or Product to promote hydrocarbon exploration in Uruguay in published articles and promotion conferences using static images ("Image") subject to the following restrictions: 

   
 

  
3.4.1     La Imagen no será identificada con el número de la línea asignado por GX Technology.
  
3.4.1     The Image will not be labelled with the number of the line assigned by the GX Technology. 
   
 

  
3.4.2     La Imagen no debe contener referencia alguna a los números de disparos.
  
3.4.2     The Image must not contain any reference to the shot point numbers.
   
 

  
3.4.3     Cada Imagen debe contener la siguiente nota: "Dato cortesía de GX Technology.
  
3.4.3     Each Image must contain the following note: "Data courtesy of GX Technology".
   
 

  
3.4.4     Si las Imágenes son utilizadas en una publicación, una copia del artículo o presentación debe ser previamente aprobada por GX Technology antes de ser publicada.
  
3.4.4     If the Images are used in a publication, a copy of the article or presentation must be approved by GX Technology before being published.
   
 

  
3.5     Si GX Technology hace presentaciones de los Datos y/o del Producto a posibles compradores;
  
3.5     If GX Technology makes presentations of the Data and / or Product to potential buyers;
   
 

  
3.6     Cuando GX Technology haya finalizado y suscrito un contrato de licencia con un comprador.
  
3.6     When GX Technology has completed and signed a license agreement with a licensee.
   
 

  
Todos los datos e información proporcionados por ANCAP para su uso en el Programa se mantendrán bajo estricta confidencialidad por parte de GX Technology y no serán copiados para propósito alguno ajeno al Programa.
  
All Data and information provided by ANCAP for use in the Program will be kept strictly confidential by GX Technology and will not be copied for any purpose other than the Program.
   
 

  
Bajo ningún concepto las copias de los Datos y/o del Producto en poder de ANCAP podrán ser vendidos, ni ser objeto de licencia a terceros por ANCAP, en ninguna circunstancia, durante la vigencia del presente Contrato.
  
Under no circumstances may copies of the Data and / or the Product held by ANCAP be sold, nor may it be licensed to third parties by ANCAP, throughout for the term of this Agreement.
   
 

  
Cualquier análisis o interpretación adicional de los Datos durante la vigencia de este Contrato será resultado de común acuerdo entre ANCAP y GX Technology.
  
Any further analysis or additional interpretation of the Data during the term of this Agreement shall be agreed between ANCAP and GX Technology.
   
 

  

  

   
 

  
CLÁUSULA CUARTA - Custodia y uso de los Datos
  
FOURTH CLAUSE- Custody and Use of Data
   
 

  
Todos los Datos y el Producto serán mantenidos y estarán bajo custodia de GX Technology, en sus oficinas, durante la vigencia del presente Contrato. Al terminar este Contrato, todos los Datos y el Producto serán transferidos a ANCAP; sin embargo, GX Technology podrá conservar una copia de los Datos y del Producto hasta el momento en que todas las licencias de uso vendidas con anterioridad hayan caducado, en el entendido de que GX Technology sólo utilizará dichas copias para ayudar a los compradores con preguntas y/o problemas encontrados con los Datos y/o el Producto proporcionados previamente. Al vencimiento o terminación de dichas licencias, GX Technology destruirá cualquier copia de los Datos y del Producto en su poder en ese momento.
  
The Data and the Product will be maintained under the custody of GX Technology in their offices throughout the term of this Agreement. Upon termination of this Agreement, all Data and the Product will be transferred to ANCAP; however, GX Technology may retain a copy of the Product and Data until such time that all granted data use licenses have expired, on the understanding that GX Technology will only use these copies to assist licensees in response to questions and / or problems encountered with Data and / or the Product. Upon expiration or termination of these licenses, GX Technology will destroy all copies of the Data and Product in its possession.
   
 

  
CLÁUSULA QUINTA - Roles y responsabilidades en la ejecución del Programa

5.1     Proporcionará a GX Technology los datos e información necesarios para el diseño del Programa, en tanto no contravenga otros acuerdos y compromisos de confidencialidad.
  
5.1     Will provide to GX Technology the Data and information necessary to design the Program, only when the provision of said Data does not contravene any previous agreements or confidentiality commitments.
   
 

  
5.2     Cooperará con GX Technology, si es aplicable en la gestión de los permisos necesarios con los eventuales titulares de contratos de exploración y explotación de hidrocarburos en las áreas donde se desarrollará el Programa.
  
5.2     Will cooperate if applicable with the GX Technology in the processing of permits necessary with the eventual hydrocarbon exploration and exploitation contract holders in the areas where the Program is to be developed.
   
 

  
5.3     Cooperará con GX Technology o sus subcontratistas si es aplicable para la gestión de las autorizaciones necesarias por parte de las entidades laborales, aduaneras, migratorias, ambientales, marítimas, pesqueras y cualesquier otras entidades gubernamentales con jurisdicción respecto a las áreas donde se llevará a cabo el Programa y concernientes a las operaciones involucradas en el mismo, así como para la coordinación y comunicación en la fase de adquisición del Programa, con dichas entidades y otras partes interesadas. Para ello, ANCAP podría solicitar a GX Technology la documentación e información técnica acerca del Programa previamente a su inicio, durante y después de que haya concluido la adquisición.
  
5.3     If applicable, ANCAP will cooperate with the GX Technology or its sub- contractors for the processing of authorizations necessary from the labor, customs, migratory, environmental, maritime, fishing entities and other governmental entities with jurisdiction regarding the areas where the program is to be carried out and concerning to the operations involved thereof, as well as the coordination and communication with such entities and other interested parts in the acquisition phase of the Project. For this, ANCAP could request the "company" the documents and technical information about the Program prior to its start, during and after the procuring has concluded.
   
 

  
5.4     Cooperará con GX Technology en la difusión del Programa, incluyendo información general del mismo en las actividades y materiales de promoción de la exploración de hidrocarburos en Uruguay, e informando a GX Technology de todas las consultas y solicitudes relacionadas con el Programa que reciba durante dicha promoción.
  
5.4     Will cooperate with GX Technology in the dissemination of the Program; including general information of activities and promotional materials for hydrocarbon exploration in Uruguay, and informing GX Technology of all queries and requests related to the Program received during the promotion.

5.5     Conducirá todas las operaciones y actividades necesarias para ejecutar el Programa dentro de los plazos estipulados y establecidos en la cláusula séptima, de acuerdo con las especificaciones técnicas descritas en el Anexo 3.
  
5.5     Shall conduct all operations necessary to implement the Program within the stipulated deadlines set out in the seventh clause, according to the technical specifications described in the Annex 3.
   
 

  
5.6     Proporcionará a ANCAP una copia de los datos crudos, productos de procesamiento intermedio (si los hubiere), con los plazos establecidos en la cláusula séptima.
  
5.6     Shall provide to ANCAP, a copy of the raw data, intermediate processing products (if any) within the deadlines set out in the seventh clause.
   
 

  
5.7     Conservará dos (2) copias de los Datos y del Producto para referencia futura, sujeto a lo previsto en la cláusula tercera.
  
5.7     Shall retain two (2) copies of the Data and Product for future reference, subject to the provisions set out in the third clause.
   
 

  
5.8     Permitirá y facilitará las tareas de seguimiento del Programa por representantes de ANCAP y por representantes de otras autoridades nacionales, si fuese necesario. GX Technology, permitirá y facilitará las actividades de seguimiento por representantes de ANCAP con todos los gastos a su costo, GX Technology no cubrirá el transporte, alojamiento y los gastos de manutención de los representantes de ANCAP.
  
5.8     Shall allow and facilitate the monitoring of the Program by ANCAP representatives and, if necessary, representatives of other national authorities. GX Technology, at its own cost, will allow and facilitate the monitoring of the Program by representatives of ANCAP, GX Technology will not cover transportation, accommodation and living expenses incurred by the representatives of ANCAP.
   
 

  
5.9     Solicitará y recabará la autorización, si es aplicable, de los respectivos titulares de los contratos de exploración y explotación de hidrocarburos en las áreas donde se realizará el Programa para la adquisición de Datos, dentro de las jurisdicciones de dichos contratos.
  
5.9     Will request and gather if applicable, the authorization, from the hydrocarbons exploration and exploitation contracts holders in the areas where the program for data acquisition will be carried out, inside the jurisdiction of such contracts.
   
 

  
5.10     Solicitará y recabará por sí, o a través de sus subcontratistas, si es aplicable, las autorizaciones de las autoridades laborales, aduaneras, migratorias, ambientales, marítimas, pesqueras y cualesquier otras autoridades con jurisdicción respecto a las áreas donde se realizará el Programa. Suministrará a ANCAP la información y documentación requeridas por cualquiera de estas autoridades o cualquier otra parte interesada, a fin de coordinar la fase de adquisición del Programa.
  
5.10     Will request and gather itself or through its subcontractors, if applicable, the authorizations from the labor, customs, migratory, environmental, maritime, fishing authorities and any other authority with jurisdiction regarding the areas where the program is to be carried out. GX Technology will provide the ANCAP with the information and documents required by any of these authorities or any other interested part, in order to coordinate the acquisition phase of the Program.
   
 

  
5.11     Elaborará un Plan de Gestión Ambiental, si es aplicable, de las operaciones involucradas en el Programa, cuyo alcance estará sujeto a los lineamientos vigentes de ANCAP, y que serán comunicados a GX Technology antes de la firma de este Contrato, y que contendrá como mínimo lo siguiente:
  
5.11     Will make an Environmental Management Plan, if applicable, for the operations involved in the Program, whose scope is submitted to the ANCAP guidelines in force, and will be communicated to the GX Technology before the signing of this Contract, and will have the following as minimum:

5.12     GX Technology y ANCAP trabajarán para determinar un plan de capacitación apropiado para dos (2) aprendices de la Gerencia de Exploración y Producción de ANCAP, designados por ANCAP, a llevarse a cabo durante la ejecución del Programa. Los gastos incurridos por el plan de capacitación serán responsabilidad de GX Technology, y los únicos costos que no cubrirá serán el traslado, alojamiento y los gastos de manutención, generados fuera del Uruguay, de los aprendices de ANCAP. El programa de capacitación tendrá una duración máxima de dos semanas.
  
5.12     GX Technology and ANCAP will work together to determine an appropriate training plan for two (2) ANCAP trainees nominated by ANCAP Exploration and Production. The training will carried out during the execution of the Program. All costs incurred in executing the training program, except for ANCAP trainee travel, accommodation and living expense costs incurred outside of Uruguay, will be the responsibility of GX Technology. The training program will last a maximum of two weeks.
   
 

  

  

   
 

  
CLÁUSULA SEXTA- Garantías y limitaciones de responsabilidad
  
SIXTH CLAUSE - Warranties and disclaimers
   
 

  
6.1     ANCAP asegura a GX Technology que tiene plena autoridad y potestad para otorgar los derechos tal como se definen en el presente Contrato.
  
6.1     ANCAP assures GX Technology that it has full authority and power to grant the rights as defined in this Agreement.
   
 

  
6.2     GX Technology asume la plena responsabilidad por los resultados de las actividades incluidas en el Programa efectuado por GX Technology para el cumplimiento del presente Contrato, y por este medio se compromete a indemnizar y mantener indemne por cualesquier demanda, causa de acción, daños o cualesquier otra responsabilidad que surja de tales actividades; considerando, sin embargo, que GX Technology no otorga representaciones o garantías, expresas o implícitas, ni garantiza los resultados del uso de los equipos, cintas, Datos ni del desempeño de cualquiera de los servicios o estudios sísmicos ni de cualquier otro informe (colectivamente, el "Programa"). El personal de GX Technology ejercerá su buen juicio en virtud de las condiciones prevalecientes según su leal saber y entender. 6.2     GX Technology assumes full responsibility for the results of the activities included in the Program carried out by GX Technology for the fulfillment of this Agreement, and hereby agrees to indemnify and hold harmless from any claim, cause of action, damages or any other liabilities arising out of the activities; clarifying, however, that GX Technology makes no representations or warranties, express or implied, nor guarantees the results of the use of equipment, tapes, Data or the performance of any of the services or seismic studies or any other report (collectively The "Program"). The staff of GX Technology shall exercise good judgment under the prevailing conditions according to their knowledge and understanding. Any recommendation, interpretation, opinion or report from GX Technology or its employees is based upon judgments regarding conditions, inferences and the assumptions that are subject to error. Consequently, GX Technology cannot and does not represent, warrant or guarantee the results, precision or accuracy of any such recommendations, interpretations or opinions arising from the Program.
   
 

  
     Cualquier acción tomada por ANCAP con base en cualquiera de los resultados del Programa será bajo su propia responsabilidad y su propio riesgo. GX Technology no asume ninguna responsabilidad y no otorga ninguna representación, garantías ni seguridad, incluyendo sin limitación cualesquier garantías expresas o implícitas de comerciabilidad, condición, durabilidad, diseño, capacidad, facilidad de operación, defectos, integridad, adecuabilidad, idoneidad para un propósito o uso particulares, utilidades, productividad, operaciones adecuadas ni sobre la rentabilidad de cualquier parte del Programa.
  
     Any action taken by ANCAP based on any of the results of the Program will be at its own risk. GX Technology assumes no liability and makes no representation, guarantees or safeguards, including without limitation any express or implied warranties of merchantability, condition, durability, design, capacity, ease of operation, integrity, defects, completeness, suitability, fitness for a purpose or private use, productivity nor the profitability for any part of the Program.
   
 

  
6.3     Bajo ningún concepto GX Technology será responsable ante ANCAP con relación a daños punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin carácter limitativo, los daños por pérdida de producción, pérdida de ingresos, pérdida de producto, lucro cesante, pérdida de negocios o interrupciones de negocios, daños ejemplares o punitivos, resultantes o emanados de la adquisición, procesamiento y todas las demás actividades incluidas en el Programa o del uso de los Datos; y "GX technology "se compromete expresamente a no alegar garantías generales ni específicas, expresas o implícitas, con relación a la precisión, utilidad y calidad de los Datos ni su idoneidad para cualquier uso o propósito en particular. GX Technology no asume responsabilidad alguna de ningún tipo por el uso de los Datos.
  
6.3     Under no circumstances shall GX Technology be liable to ANCAP for punitive, indirect, special, incidental or consequential damages, including without limitation, damages for loss of production, loss of revenue, loss of product, loss of profits, loss of business or business interruptions, exemplary or punitive, consequential or arising from acquisition, processing and any other activity included in the Program or the use of Data; and GX Technology expressly agrees not to make guarantees neither general or specific, explicit or implied, relating to the accuracy, usefulness and quality of the Data and Product nor its fitness for any particular purpose. GX Technology does not assume any responsibility whatsoever for the use of the Data.
   
 

  
6.4     Bajo ningún concepto ANCAP será responsable ante terceros con relación a daños punitivos, indirectos, especiales, incidentales o consecuenciales, incluidos sin carácter limitativo, los daños por pérdida de producción, pérdida de ingresos, pérdida de producto, lucro cesante, pérdida de negocios o interrupciones de negocios, daños ejemplares o punitivos, resultantes o emanados de la adquisición, procesamiento y todas las demás actividades incluidas en el Programa. Todos los Datos serán licenciados a terceras partes entendiéndose y acordándose que GX Technology y ANCAP no serán responsables de ninguna acción realizada ni gasto efectuado por terceros y sus grupos de exploración resultantes del estudio, evaluación, interpretación o uso de los Datos, y las terceras partes exonerarán, defenderán e indemnizarán a GX Technology y a ANCAP de y contra cualquier demanda o responsabilidad que de ellos emanara.
  
6.4     Under no circumstances shall ANCAP be liable to third parties for punitive, indirect, special, incidental nor consequential damages, including without limitation, damages for loss of production, loss of revenue, loss of product, loss of profits, loss or interruptions of business neither from exemplary, punitive, or consequential damages arising from the processing and any other activity included in the Program. All Data will be licensed to third parties under the understanding and agreement that GX Technology and ANCAP shall not be liable for any actions undertaken nor expenditure incurred by third parties and their exploration groups as a result of the study, evaluation, interpretation or use of the Data, and the third parties will exempt, defend and indemnify GX Technology and ANCAP from and against any claim or liability which may emanate from those third parties and their explorations groups.
   
 

  
6.5     ANCAP declara que en el marco del presente Contrato no se otorga ningún derecho sobre el petróleo y/o gas, u otros minerales, ni se autoriza cualquier otra actividad de exploración en las áreas cubiertas por los Datos a algún individuo, o tercera parte.
  
6.5     ANCAP states that the framework of this Agreement does not grant any rights to the oil, gas, or other minerals, nor does it authorize any other exploration activity in the areas covered by the Data by any individual, GX Technology or third party.
   
 

  
6.6     GX Technology garantiza que los medios en los cuales se entregarán los Datos no tendrán defectos y que los Datos estarán debidamente registrados en tales medios. En caso que ANCAP identifique que los medios tienen algún defecto lo comunicará de inmediato a GX Technology, quien reemplazará dicho medio a la brevedad del caso.
  
6.6     GX Technology guarantees that the medium on which the Data shall be delivered will be free from defects and that the Data will be duly recorded on said medium. In the event that ANCAP identifies that the medium has a defect it shall immediately notify GX Technology, who will replace the medium promptly.
   
 

  
6.7     GX Technology deberá tener adecuadamente transferidos los riesgos de sufrir y/o producir daños o pérdidas, que la actividad objeto del presente Contrato pudiere generar. GX Technology y sus Subcontratistas deberán contratar todos los seguros obligatorios que correspondan, de acuerdo a la legislación de Uruguay y se deberá incluir, siempre y cuando sea posible, a ANCAP como co- asegurado y/o asegurado adicional.
  
6.7     GX Technology must be adequately insured against the risks of suffering or causing damage or loss as a consequence of complying with this Agreement. GX Technology and its Subcontractors must obtain all the corresponding compulsory insurance, required by Uruguay legislation of and shall include, wherever possible, ANCAP as co-insured and / or additional insured.
   
 

  
6.8     Ninguna medida de transferencia de riesgos, por ejemplo: autoseguro, fondo mutuo, utilización de cautiva, o contratación de seguro, liberará a GX Technology de sus responsabilidades. Aun contratando seguros, la responsabilidad de GX Technology se mantendrá en todo momento o caso intacta.
  
6.8     No measure of insurance such as self- insurance, mutual fund, captive use, or contract of insurance, releases GX Technology from its responsibilities.
   
 

  

  

   
 

  
CLÁUSULA SÉPTIMA - Vigencia y finalización del Contrato
  
SEVENTH CLAUSE - Duration and termination of contract
   
 

  
7.1     El Contrato se mantendrá en vigencia desde la fecha de su firma y culminará luego de transcurridos cinco (5) años contados a partir de la firma del Contrato. El Período de Exclusividad establecido en la cláusula 1.2 comenzará a partir de la firma de este y permanecerá vigente durante toda la vigencia del Contrato. ANCAP tendrá derecho exclusivo de prorrogarlo por un plazo adicional de hasta cinco (5) años.
  
7.1     The duration of the Contract will be five (5) years from the date of signing. The Exclusive Right established in the clause 1.2 will start from the date of signing and will remain until the end of itself. ANCAP has the exclusive right of extension for an additional period of up to five (5) years.
   
 

  
7.2     GX Technology tendrá el derecho de empezar el proyecto en un plazo de (1) un año y ANCAP tendrá el derecho de extenderlo por un año o de rescindirlo si no se cumple esta condición.
  
7.2     GX Technology will have the right to start the Program at within (1) one year and ANCAP will have the right to extend it for (1) one year or to terminate the Agreement if this is not accomplished.
   
 

  
7.3     GX Technology completara el proyecto como se especifica en el Anexo 1, numeral A.1.2. ANCAP tendrá el derecho exclusivo de rescindir el Contrato si no se cumple esta condición. En caso de que el Programa se aumente, de común acuerdo con ANCAP, este plazo podrá ser prorrogado proporcionalmente.
  
7.3     GX Technology will complete the project as specified in Annex 1, item A.1.2. ANCAP shall have the exclusive right to terminate the Agreement if this schedule is not complied with. In the event that the Program is extended by mutual agreement, this period may be extended proportionally.
   
 

  
7.4     De conformidad con las disposiciones de la cláusula cuarta, al terminar este Contrato, sea al finalizar su vigencia o por rescisión del mismo, todos los Datos y el Producto serán transferidos a ANCAP y GX Technology deberá destruir cualquier copia de los datos en su poder en ese momento.
  
7.4     In accordance with the provisions of clause four, at the expiration of this Agreement, whether due to the accomplishment of the five years duration or for cause, all the Data and the Product will be transferred to ANCAP and GX Technology shall destroy any copies of the Data in its possession.
   
 

  
7.5     El cronograma de procesamiento en el Anexo 1 numeral A.1.2. deberá suspenderse en caso de que el procesamiento se haya demorado debido a una Causa Extraña No Imputable a ANCAP o GX Technology. Para los efectos del presente Contrato, "Causa Extraña No Imputable" se entenderá como cualquier hecho, evento o cualquier otra causa fuera del control de ANCAP o GX Technology y que ninguna de las partes sea capaz de superar mediante el ejercicio de esfuerzos comerciales razonables; ya sea que impida, total o parcialmente la ejecución de cualquier obligación de cualquiera de las partes incluyendo a vía ilustrativa pero no limitativamente: eventos de la naturaleza, incendio, huracán, inundación, explosión, derrumbe de estructuras, disturbios civiles, motines, guerra o disturbios similares, huelgas, conflictos laborales más allá del control de las partes,
     actos, demoras o restricciones por parte de los organismos gubernamentales o militares (incluidos los tribunales o autoridades de jurisdicción competente), o la imposibilidad de disposición de los medios técnicos o permisos necesarios para cumplir con el objeto del Contrato. La demora o incumplimiento de las obligaciones serán excusados durante el tiempo y en la medida que dicha demora o incumplimiento sea ocasionado por Causa Extraña No Imputable.
  
7.5     The processing schedule in Annex 1 item A.1.2 shall be discontinued if the processing is delayed due to cause or causes beyond the control of ANCAP or GX Technology. For the purposes of this Agreement, " cause or causes beyond the control of ANCAP or GX Technology " shall mean any fact, event or any other cause beyond the control of ANCAP or GX Technology that either Party is able to overcome by the exercise of reasonable commercial efforts; whether to prevent totally or partially the execution of any obligation of either Party including but not limited to: natural events, fire, hurricane, flood, explosion, structural collapse, civil unrest, riots, war or Similar riots, strikes, labor disputes beyond the control of the Parties, events, delays or restrictions by the government or military agencies (including courts or appropriate authorities jurisdiction), or the impossibilities to dispose of the
     technical means or necessary permits to fulfill the purpose of the Agreement. The delay or non-fulfillment of the obligations shall be excused as long as and to the extent that such delay or nonperformance is caused by "cause or causes beyond the control of ANCAP or GX Technology".
   
 

  
7.6     GX Technology tendrá el derecho a rescindir el Contrato y no proceder con el Programa si no asegura suficiente financiación para su comienzo. Dicha rescisión del Contrato no ocasionará daños o perjuicios de ningún tipo para ninguna de las partes, en tal sentido, ninguna de las partes tendrá obligación de pagar indemnización de ningún tipo, ni será sujeta a obligación alguna por causa del presente Contrato.
  
7.6     GX Technology shall have the right to terminate the Agreement and not proceed with the Program if there is insufficient funding to start. Such termination of the Agreement will not cause damage or injury of any kind to any Party as such, neither Party
     shall be obliged to pay compensation of any kind, nor be subject to any obligation by reason of this Agreement.

   
 

  
7.7     Una parte podrá denunciar el presente Contrato, si la otra parte se encuentra en mora. Para que una parte sea considerada en incumplimiento, la otra parte deberá notificarla de la presente omisión por escrito, especificando con detalle las circunstancias del incumplimiento. La parte en incumplimiento contará con un plazo de 10 días a partir de y después de la recepción de dicha notificación para curar el defecto, so pena de que el presente Contrato se dé por terminado.
  
7.7     A Party may terminate this Agreement if the other Party is in default. For a Party to be considered in default, the other Party shall notify the formal of the default in writing, specifying in detail the circumstances of the breach. The Party in default shall have a period of 10 days from receipt of said notice to rectify the fault. The failure to rectify the fault within 10 days shall render this Agreement as terminated.
   
 

  
7.8     Ambas partes acuerdan revisar cualquier proyecto gobernado por este acuerdo un (1) año antes de terminarse el término de (5) cinco años con el fin de que cualquier nueva, relevante tecnología sea evaluada para estos productos finales.
  
7.8     Both Parties agree to review any project governed by this Agreement one (1) year prior to the end of the five (5) year term of this Agreement in order that any new relevant technology may be evaluated for applicability to these final Products.
   
 

  

  

   
 

  
CLÁUSULA OCTAVA - Cesión de derechos

8.1     En ningún caso podrá GX Technology transferir o ceder este Contrato, con sus derechos para otorgar licencias de uso de los Datos a terceras partes, sin la aprobación previa por escrito de ANCAP.
  
8.1     Under no circumstances may GX Technology transfer or assign this Agreement with the right to grant licenses for the use of the Data to third parties without the prior written approval of ANCAP.
   
 

  
8.2     GX Technology podrá tener subcontratistas para efectuar ciertas porciones del Programa por su cuenta, lo cual no será considerado como una cesión del Contrato.
  
8.2     GX Technology may, at its own expense, employ subcontractors to perform certain aspects of the Program. This shall not be considered as an assignment of the Agreement.
   
 

  

  

   
 

  
CLÁUSULA NOVENA - Legislación aplicable y jurisdicción e idioma oficial
  
NINTH CLAUSE - Applicable law, jurisdiction and official language
   
 

  
Este Contrato estará regido por la ley de la República Oriental del Uruguay. Cualquier otra cuestión que emane o esté relacionada con este Contrato y su Anexo, o su validez, redacción, interpretación, cumplimiento o infracción estará regida y se decidirá mediante la aplicación de las leyes de la República Oriental del Uruguay, excluyendo cualquier elección de norma legal que de otra manera requiera la aplicación de las leyes de cualesquier otra jurisdicción, y la jurisdicción para cualquiera o todas dichas acciones será Montevideo, Uruguay. Las partes acuerdan que la versión en idioma español será la versión oficial que regirá el presente Contrato.
  
This Agreement shall be governed by the law of the Oriental Republic of Uruguay. Any other issues emanating from or relating to this Agreement and its Annexes, or its validity, interpretation, fulfillment or breach shall be governed according to the laws of the Republic of Uruguay, excluding any choice of legal norm that would otherwise require under the applications of laws of any other jurisdiction, and the jurisdiction for any and all said actions shall be Montevideo, Uruguay. The parties agree that the Spanish version will be the official language that will govern this Agreement
   
 

  

  

   
 

  
CLÁUSULA DÉCIMA - Acuerdo completo
  
TENTH CLAUSE - Full Agreement
   
 

  
Este Contrato y sus Anexos constituyen el acuerdo completo de las partes relativas al objeto del presente documento, y no se podrá efectuar ninguna modificación, enmienda ni agregado a este Contrato ni se efectuará el Anexo a menos que sea por escrito y haga referencia específica a este Contrato y/o el Anexo aplicable, y esté firmado por un representante autorizado de ambas partes.
  
This Agreement and its Annexes constitute entire agreement between the Parties relating to the subject matter of this agreement, and no modification, amendment or addition shall be made to this Agreement or the Annexes unless it is agreed in writing and specific reference to this Agreement and/or the applicable Annex, and it is signed by an authorized representative of both Parties.
   
 

  

  

   
 

  
CLÁUSULA DÉCIMO PRIMERA - Avisos
  
ELEVENTH CLAUSE - Notices
   
 

  
11.1     Salvo como se define expresa y específicamente en este Contrato y en el Anexo, todos los avisos y comunicaciones deberán cursarse por escrito y serán considerados suficientes para todo fin si son enviados mediante carta certificada (por ejemplo a través de Federal Express, DHL o similar), servicios de mensajería o facsímile (con acuse de recibo) a la dirección del destinatario establecida a continuación. La notificación de la otra parte será válida en el momento del recibo del aviso o comunicación. Cada parte puede cambiar su dirección mediante aviso por escrito. Cada aviso enviado de cualquiera de las formas precedentes entrará en vigencia en la fecha de la recepción real.
  
11.1     Except as expressly and specifically defined in this Agreement and in its Annexes, all notices and communications shall be in writing and shall be deemed sufficient for all purposes if they are sent by registered letter (i.e. Federal Express, DHL or similar), via courier or facsimile (with receipt of acknowledgment) to the recipient's address as set forth below. The notification of the receiving Party shall be valid immediately upon receipt of the notice of communication. Each Party may notify the other Party of a change of address by written notice. Each message sent from any of the foregoing forms shall enter into force on the date of actual receipt.

12.3     GX Technology determines the royalties or Data License Fees. The nominal License Fee is shown in the Annex 2 and is reported to ANCAP for informational purposes only; ANCAP understands and agrees that, for commercial or other reasons that are unpredictable and are beyond the control of GX Technology, the License Fee may be different from the nominal license fee.
   
 

  
12.4     Si GX Technology se viese obligada a pagar cualquier impuesto sobre ventas, uso o IVA en Uruguay para el otorgamiento/venta de la licencia de los Datos y/o del Producto por parte de GX Technology, dichos impuestos serán deducidos antes de que el ingreso se comparta con ANCAP.
  
12.4     If GX Technology is obligated to pay any taxes on sales, use or VAT in Uruguay for the issuance or sale of Data licenses and / or the Product, such and all other applicable taxes will be deducted from income before the ANCAP revenue share is calculated.

12.6     GX Technology efectuará el pago de su parte de ingresos a ANCAP dentro de los 45 días siguientes al mes en que se haya pagado la factura. GX Technology entregará a ANCAP una declaración trimestral de ventas de Tarifas de Licencia dentro de un plazo de treinta (30) días tras la finalización del trimestre anterior, según el formato establecido en el Anexo 4. GX Technology llevará registros por separado de todo lo recaudado por el otorgamiento de licencias de los Datos y/o el Producto, y proporcionarán, cuando ANCAP lo solicite, los estados auditados anuales pertinentes, preparados por auditores independientes, de estos registros. 
  
12.6     GX Technology will pay ANCAP its share of revenue within 45 days following the month in which the invoice is paid. GX Technology shall provide quarterly license fees sales statements, according to the format set out in Annex 4, to ANCAP within thirty (30) days of the end of each quarter. GX Technology will maintain separate records of all the proceeds earned from the licensing of Data and / or the Product, and will provide upon request from ANCAP, the relevant annual audited statements as prepared by independent auditors.

ANCAP may, upon reasonable prior notice and at its own cost, request that such accounts are audited by an independent auditor. Such audits shall be limited to one per year.
